Our client, a diversified investment group of companies with interests including Education, Real Estate, Capital and Hospitality amongst others is seeking to hire a Legal Counsel. Reporting to the Group’s Senior Legal Counsel the successful candidate will be part of the team responsible for administering all legal matters relating to the group’s operational and business functions.
Key responsibilities include
• Mergers & Acquisitions (M&A)
• Private equity and JVs
• Reviewing cross-border transactions
• Preparation of legal documents and contracts, with second and third parties and employees to ensure protection of the organization interest
• Prepare a wide variety of legal documents under the Group Senior Counsel supervision
• Develop and/or review drafts of contracts and agreements.
• Research, Analysis and consultation Provide legal analysis of contractual and regulatory issues
• Convey legal advice and follow-up information to manager, in consultation with attorneys or external lawyers, regarding the legal implications, risks, and liabilities of proposed and actual policies, practices, and contractual situations
• Negotiate specific contractual issues and agreements with external entities as appropriate
• Participate in meeting and conferences pertaining to resolution of contracting issues
• Participate in the review of new legislation requiring contractual compliance, and implements systems required to attain compliance
• Develop contracts to achieve compliance, negotiating legal issues as appropriate
• Safeguards official and legal organization records by maintaining various ownership certificates and deeds, by-laws, minutes of official meetings and other documents and reports required by law, regulations and/or agreement, whenever required by the Senior Counsel
• Follows up on all legal cases / consultations with external legal advisors in coordination with the Senior Counsel
• Any other relevant experience as may be requested by the Sr. Legal Counsel
