LEGAL ADVISOR (BILINGUAL - A/E)

• Conduct periodical legal review of Companies and businesses in YEMEN and prepare reports to senior management, Line Manager.



• Provide legal advice to ensure compliance with legal requirements and reduce exposure to legal risks;



• Representing Company in YEMEN as legal counsel in judicial and government proceedings and advocating and defending its interest in those proceedings either by himself or through local lawyers.



• Provide primary legal support to holding company seniors and shareholders on corporate and commercial matters, contracts with third parties, employment matters, mergers and acquisitions, portfolio investments, joint ventures, strategic alliances, purchase/sale of real estate and other assets, leases, and investment structures.



• Manage external legal counsel and liaise with Government bodies as required.

• Manage all litigation/arbitration for the company

• Structure, draft and negotiate agreements for the holding company or individual shareholders. This includes but is not limited to,

1. Articles of association

2. Loan agreements

3. Funding term sheets and covenants

4. Collateral agreements

5. Proxy agreements

6. Purchase agreements

• Produce legal memos, letters, emails, correspondence and reports.

• Maintain all physical and virtual legal files.

• Advice on legal and commercial risk related to all companies’ business activities in YEMEN.

• Provide legal framework on policies to various departments.

• Provide clear, high quality and timely advice and guidance.

• Ensure that legislative tools are consistently applied, while maintaining a holistic approach.

• Carry out in-depth legal analysis of the issues raised by cases.

• Responsible for all legal activities in line with investment strategy, including numerous mergers, acquisitions and private equity transactions.

• Providing day to day legal advice: communicating with other departments and Group’s companies and provide the required legal assistance as and when required;

• Prepare and draft constitutive instrument of the Group and its subsidiaries as well as the internal regulations.

• Prepare contracts, letters and legal documents for submission by the Group to other parties.

• Provide advice on required changes to the compliance and enforcement framework from a legal perspective.

• Responsible for overseeing registration, maintenance and protection of YEMEN Group’s of companies’ intellectual property and closely coordinate with departments in charge of intellectual property within the Group.
